Terms of Service

By engaging with LeadSpark Marketing ("LeadSpark," "we," or "us"), you agree to these Terms of Service. These terms govern your access to our infrastructure and our commitment as your technical partner.

1. Scope of Service

LeadSpark Marketing provides "Digital Infrastructure" and "Systems Engineering" services. This includes custom web development, lead automation, CRM management, and managed technical performance. We operate as a fractional technical department for your business.

2. Engagement and Billing

  • Engineering Fees: One-time fees cover the initial architecture and deployment of your system.
  • Management Retainers: Monthly fees cover hosting, security, uptime monitoring, and ongoing optimizations.
  • Annual Advantage: Annual commitments waive initial engineering fees and provide a 20% discount on monthly retainers.

3. Ownership and Sovereignty

Your Data: You own 100% of your leads, customer lists, and business data.
The Engine: LeadSpark maintains ownership of the proprietary code and infrastructure used to power your systems, while granting you a permanent, irrevocable license to use the system for as long as your retainer is active.

4. Performance and Liability

We build high-performance systems designed for growth. However, LeadSpark Marketing is not responsible for business success or failure, nor are we liable for any loss of revenue, data, or profit resulting from standard technical maintenance, API outages from third-party vendors (like Google or HubSpot), or general market conditions.

5. Managed Evolution

Technology moves fast. LeadSpark manages the execution of updates, security patches, and server migrations. You agree to allow LeadSpark to perform necessary technical maintenance to ensure the integrity of your "Digital HQ."

6. Termination

Either party may terminate the partnership with 30 days' written notice. Upon termination of a retainer, LeadSpark will assist in exporting your business data to the system of your choice. Public website access will cease at the end of the paid billing cycle unless a migration plan is established.

7. Governing Law

These terms are governed by the laws of the State of Texas. Disputes shall be resolved in the jurisdiction of Collin County, Texas.
